First-pass review of an NDA against your playbook
Compare an incoming NDA to your standard positions and list the clauses that need a lawyer's attention.
The task
Most NDAs are routine, but each still needs reading. Give the assistant your NDA playbook (your standard positions and fallbacks) and the incoming NDA, and ask it to flag where the document departs from your positions. A lawyer still decides.

Then list any clauses in the NDA that the playbook doesn't cover. Don't give legal advice beyond comparing to the playbook.
What to check in the output
- A lawyer reviews every "neither" and every uncovered clause.
- Check quotes and clause numbers against the document.
- Watch for definitions that change the meaning of otherwise standard clauses.
